  • Virtual Card: A network card credential (and tokenized versions) issued for your business expenses and authorized program use.

2. Eligibility; Onboarding; Information Accuracy

2.1 Eligibility. You must be a duly organized business, have capacity to enter contracts, and operate for a lawful business purpose.
2.2 KYB/KYC. You will provide accurate, current information about your entity, Beneficial Owners, and Control Person(s), and update promptly upon changes. We may request documents (e.g., formation docs, EIN, ID, proof of address) and conduct screening (OFAC, PEP, adverse media).
2.3 Verification & Approval. We may approve, deny, or limit access to any Service in our discretion. We may suspend or terminate access if we cannot verify information or for risk/compliance reasons.
2.4 Authorized Users. You are responsible for actions and omissions of Authorized Users and for maintaining the security of credentials.

3. Relationship; Limited Agency

3.1 Limited Agency for Payments. For Bill Pay Hub transactions, you appoint PaymentWorld.io as your limited agent to instruct disbursements to your designated payees using your funds. This agency is limited to executing your payment instructions and does not create a fiduciary duty.
3.2 No Fiduciary/Advisory Role. We do not provide legal, tax, accounting, or investment advice. You remain solely responsible for your payables, due dates, and compliance.

4. Service Overview

4.1 Virtual Cards.
(a) Cards are issued by the Issuing Bank and governed by a separate Cardholder/Program Agreement. In any conflict between these Terms and the Issuing Bank agreement, the Issuing Bank agreement controls for card matters.
(b) Cards are for business purposes only (e.g., employee expenses, program-approved affiliate/member spend). You must configure spend controls and monitor usage.
(c) You are responsible for transactions initiated with your credentials/cards, including by Authorized Users. Report suspected compromise immediately.
(d) Certain merchant categories or uses may be restricted or prohibited by Network Rules, law, Issuing Bank policies, or our risk standards.

4.2 Bill Pay Hub (Payables).
(a) Funding. You must pre-fund payments (or maintain sufficient balance/line with us or our partner) before we will execute any disbursement.
(b) Rails. We may use RTP by default where enabled; if a payee cannot receive RTP or an RTP fails, we may use alternate rails (ACH, wire, check, or other options) at our discretion.
(c) Accuracy & Finality. You must provide accurate payee details, amount, and reference data. RTP is generally final once sent; cancellations/recalls are not guaranteed. ACH/wire cut-off times and return windows vary by rail.
(d) Taxes & Government Payments. For tax or agency payments, you must supply correct account/tax period information. We are not responsible for penalties/interest arising from your errors, insufficient funds, or rail/network outages.
(e) Returns/Failures. If a payment is returned or fails, we may credit funds back to you (less fees) or request corrected instructions. We are not liable for indirect costs from delays or returns.

5. Compliance; Prohibited Use

5.1 AML/CFT & Sanctions. You will comply with our AML & Sanctions Statement and all applicable laws (BSA/AML, OFAC, anti-bribery, anti-corruption). We may screen parties and block or reject transactions.
5.2 Prohibited Activities. You will not use the Services for illegal goods/services, sanctions evasion, gambling without authorization, adult/escort services, drugs or research chemicals for human consumption without authorization, ransomware/extortion, money-laundering, terrorist financing, or any activity we identify as posing unacceptable risk.
5.3 Monitoring & Cooperation. You consent to ongoing monitoring, case review, and requests for information. You agree we may file required regulatory reports (e.g., SARs) without notice.

6. Fees; Limits; Taxes

6.1 Fees. Fees are shown in your dashboard, order form, or pricing addendum and may include card program fees, payment rail fees, exchange/FX fees, return/exception fees, monthly platform fees, and added-value service fees.
6.2 Changes. We may change fees with prior notice where required. Continued use after the effective date constitutes acceptance.
6.3 Limits & Reserves. We may impose transaction, velocity, or program limits and may place reserves or holds on funds to manage risk, disputes, or returns.
6.4 Taxes. You are responsible for all applicable taxes. We may collect taxes where required by law.

7. Funding; Negative Balances; Set-Off

7.1 Custody of Funds. Funds for disbursement are held and moved by our regulated partners (banks/money transmitters). The Services are not a deposit account and do not pay interest.
7.2 Negative Balances. If your Account has a shortfall (e.g., due to returns/chargebacks/fees), you must promptly fund the deficit. We may debit your linked account(s), offset against reserves, or invoice you.
7.3 Set-Off. We may set off amounts you owe against balances, reserves, or future incoming funds.

8. Disputes; Chargebacks; Errors

8.1 Card Disputes. Card transaction disputes are handled under the Issuing Bank’s Cardholder/Program Agreement and Network Rules. You must submit documentation within required timeframes.
8.2 Payment Errors. Notify us promptly of any suspected error in the Bill Pay Hub. We will investigate and, where appropriate, correct errors. Because Services are commercial, Reg E error resolution procedures do not apply.
8.3 No Indirect Liability. We are not responsible for merchant/vendor performance, quality of goods/services, or third-party fees/penalties arising from your payables or their timing.

9. Data; Security; Privacy

11.4 Effect. Upon termination, you remain responsible for fees, negative balances, disputes, returns, and any obligations that by nature survive (Sections 3, 5–9, 12–16).

12. Warranties; Disclaimers

12.1 Your Warranties. You represent and warrant that: (a) you are duly organized and authorized to accept these Terms; (b) you and your Authorized Users will use the Services only for lawful business purposes; (c) information you provide is accurate and complete.
12.2 Service Disclaimer.
